STANDARD TERMS & CONDITIONS

MINIMUM ORDER

$100 minimum order. Order in multiples of standard box unless otherwise specified at time of order placement or order acknowledgement. $25 drop ship fee.

PRICES

Insultab reserves the right to change prices without notice.

Prices shown on quotations or on acknowledgements of orders are Insultab’s prices in effect on the date the quotation is made or the order acknowledged.

Shipments will be billed and paid for at Insultab’s price in effect on the date the order is placed.

FREIGHT POLICY, F.O.B.

All shipments are F.O.B. Insultab, Inc. Woburn, Massachusetts, USA.

CUSTOMER PICK-UP ORDERS

Must be specified at time of order. No freight allowances apply to customer pick-ups at Insultab’s warehouse.

PAYMENT TERMS

Net 30 days.

Payment of each invoice, whether or not such invoice covers the entire order, shall be made in accordance with the terms of the invoice. If the Buyer fails to fulfill the terms of payment of any invoice, or the financial condition of the Buyer shall become impaired or unsatisfactory to Insultab, or if necessitated by any act or requirement of any governmental authority, Insultab, in its sole discretion, reserves the right to change terms of payment and/or defer or discontinue further shipments, without prejudice to any other lawful remedy, until past due payments are made and satisfactory assurance of Buyer’s credit standing are received by Insultab, or where such acts or requirements of such governmental authority shall have been complied with. Insultab also reserves the right in the case of any of the foregoing events to cancel the order, in which event the Buyer shall compensate Insultab for any commitments, obligations, expenditures, expenses and costs that Insultab may have incurred in the connection with the order. Each shipment by Insultab shall be considered a separate transaction and if payment is not received therefore within the periods specified, Insultab may bring a separate suit to recover the contract price of each such shipment plus collection and legal fees.

DELIVERY

Delivery and shipment dates indicated on quotations or on acknowledgements of orders are estimates only and are not guaranteed. In the event that there are any delays in the deliveries, Insultab shall not be liable therefore and the Buyer agrees to accept such deliveries when made by Insultab. If Insultab’s failure to perform arises out of causes beyond the control and without the fault or negligence of Insultab, such causes including but not restricted to, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, freight embargoes, and unusually severe weather, Insultab may cancel the Buyer’s order, in whole or in part, without liability to either party.

PROOF OF DELIVERY

Air Shipments: POD requests for air shipments must be received by Insultab no later than thirty (30) days from invoice date.

Surface Shipments: POD requests for surface shipments must be received by Insultab no later than thirty (30) days from invoice date.

PPAP’s

“PPAP” (Pre-production approval process) reports will be supplied upon request. A written request must be made at the time an order is placed. There is a $100 fee per product report for orders of less than $2500. Orders in excess $2500 are not subject to reporting fees as long as a request is made prior to the order being processed. Reports requested after an order has been processed will result in a $250 fee per product report, regardless of order size. Other industry reports can be provided. CONTINUOUS LENGTH SPOOLS

Insultab, Inc. will supply continuous length spools in accordance with AMS-DTL-23053.

MILITARY SPECIFICATIONS

Upon request, “Certificates of Compliance” will be supplied as part of each packing slip, stating that the material meets the applicable specifications listed in the Insultab catalog.

Test reports or “Certificates of Compliance” containing the date of manufacture and lot or batch number must be requested at the time of order. Test reports or “Certificates of Compliance” containing the aforementioned information cannot be supplied on stock items. A special shop order must be run to assure the appropriate paperwork accompanies your order. Contact the Sales Department for additional cost and delivery information.

CANCELLATIONS

Cancellations are permitted on standard catalog items (except as detailed below) without a service charge providing the order has not shipped.

The following items cannot be canceled or returned:

  • Items specifically identified as non-cancelable and non-returnable in the current price list.
  • All special handling orders including modifications to standard put-ups.
  • All special constructions.
  • All non-standard put-ups.
  • All obsolete/discontinued items.

RETURNS

Customers may return currently active, standard catalog items subject to the following conditions:

  • Must have been purchased within the past 90 days and supported with a copy of the invoice.
  • HS-105 will only be accepted for return within 30 days of shipment.
  • All returns must be accompanied by a numbered Return Authorization valid for 30 days from the date of issue. Material without a Return Authorization will be refused.
  • Subject to a 20% administrative restocking charge.
  • Subject to a 20% re-spooling/repackaging charge per item if necessary. This charge is in addition to the 20% administrative restocking charge.
  • Outbound and return freight paid by customer.
  • On returns resulting from Insultab’s error, the restocking, re-spooling, outbound freight and return freight charges will be waived. Material should be dispositioned per Insultab instructions.
  • Under no circumstances are products to be returned to Insultab without Insultab’s written authorization and Insultab reserves the right to scrap any unauthorized returns on a no credit basis.

AVAILABILITY OF GOODS

Insultab will endeavor to make products available as ordered to meet Buyer’s requirements, but reserves the right to allot its inventory as it deems best. Buyer agrees that Insultab shall not be liable or responsible to Buyer to any extent upon failure to supply to Buyer any amounts which may be agreed upon from time to time or to making only part shipment against any order of Buyer.

SPECIFICATIONS

Products furnished hereunder shall be within Insultab’s specifications effective on the date of shipment, or such other specifications as have been expressly agreed upon between Insultab and the customer in writing.

LIMITATIONS OF WARRANTY

Insultab warrants that products delivered are free from defects in material and workmanship, and meet all specifications which are in effect on the date of shipment or such other specifications as have been expressly agreed upon in writing, for a period of six (6) months from the date of shipment.

INSULTAB MAKES NO OTHER WARRANTY EXPRESSED OR IMPLIED.

ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE IS EXPRESSLY DISCLAIMED BY INSULTAB.

No person or company is authorized to make oral or written representations on behalf of Insultab which exceeds the foregoing.

LIMITATION OF REMEDY

The parties agree that BUYER’S SOLE AND EXCLUSIVE REMEDY SHALL BE FOR REPAIR OR REPLACEMENT of any particular defective part provided by seller. The essential purpose of this exclusive remedy shall be deemed satisfied so long as Insultab is willing and able to repair or replace defective parts in the manner prescribed in the section detailing Insultab’s LIMITATION OF LIABILITY hereof.

LIMITATION OF LIABILITY

IN NO EVENT SHALL INSULTAB’S LIABILITY UNDER ANY CLAIM EXCEED THE PRICE PAID by the Buyer to Insultab for the particular product or material giving rise to the claim. Insultab will not be liable under any circumstances or any theory of claim or liability, including but not limited to, those based on breach of warranty, breach of contract, strict liability, negligence, tort or otherwise, for any consequential, special, incidental or exemplary damages including but not limited to loss of income, loss of profits or sales, loss of use or damage to equipment, excessive or increased costs of operation, labor, substitute products or facilities or claims of third parties.

REPLACEMENT OF DEFECTIVE GOODS

If material is claimed to be defective, a short sample of the item must be forwarded to Insultab’s Quality Assurance Department with a written explanation of the specific defect. Upon examination by Insultab’s Quality Assurance Department and verification of the defect, Insultab will issue authorization to return the material, freight collect, for replacement or credit.

Claims of defective material must be made in writing within thirty (30) days of delivery of catalog STOCK items and within ten (10) days of delivery of Special Constructions and Catalog Variations. Failure to give such notice within the specified time shall constitute an unqualified acceptance and waiver of all claims. Insultab’s liability and responsibility for defective products is specifically limited to the defective item or to credit towards the original billing. All replacements by Insultab under the provisions of this clause shall be made free of charge, F.O.B. delivery point called for in the original order. Products, for which replacement has been made under the provisions of this clause, shall become the property of Insultab and shall be returned to Insultab by the Buyer, in accordance with Insultab’s shipping instructions.

BUYER’S WARRANTY AGAINST PATENT INFRINGEMENT

Insultab shall not be liable for infringement of any patent, domestic or foreign, arising out of the use or resale of the products sold hereunder. Further, if such products are manufactured by Insultab in accordance with the Buyer’s instructions or specifications, Buyer warrants that such instructions or specifications do not infringe upon any patent, domestic or foreign, and the Buyer will indemnify and hold Insultab harmless from all liability or expense of any nature or kind whatsoever based on or arising out of any claim or infringement of any patent, domestic or foreign.

TITLE OF PRODUCTION MATERIALS

Irrespective of who has paid for same, all tools, molds, dies, or fixtures referred to in any quotation or order shall become and remain the property of Insultab.

EXCLUSIVE CONTRACT

No modification of this agreement is valid unless agreed to in writing by Insultab.

Insultab expressly limits all exceptions by the Buyer to the terms stated herein, and specifically objects to any contrary terms.

Insultab cannot be held accountable for typographical errors within this web site.
